Guide To Corporate Tax Registration for LLCs in UAE — Deadlines, Process & Penalties

Corporate Tax Registration Requirements for LLCs in the UAE

Every Limited Liability Company operating in the UAE is required to register for Corporate Tax with the Federal Tax Authority, an obligation that applies regardless of the income the business actually generates. The requirement stems from Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, which took effect for tax periods beginning on or after 1 June 2023, with the specific registration timelines later set out in FTA Decision No. 3 of 2024, issued 22 February 2024 and effective from 1 March 2024.

The registration obligation sits apart from the question of how much tax an LLC ultimately owes. An LLC with zero taxable profit in a given year still has to register, file a return, and confirm its position to the FTA — the absence of a tax bill does not remove the paperwork.

UAE Corporate Tax Rates for LLCs

Once registered, an LLC’s tax liability is calculated under a two-tier rate structure set by Cabinet Decision No. 116 of 2022:

  • 0% rate, applied to taxable income up to AED 375,000
  • 9% rate, applied to taxable income exceeding AED 375,000

The AED 375,000 figure is a rate threshold, not a registration trigger — it determines how much tax is owed, not whether registration is required in the first place. An LLC earning AED 50,000 in annual profit and an LLC earning AED 50 million both register under the same law; only the resulting tax bill differs.

Missing the registration deadline carries a fixed administrative penalty of AED 10,000 per violation, set under Cabinet Decision No. 10 of 2024, amending the consolidated penalty table established by Cabinet Decision No. 75 of 2023.

Step-by-Step Guide to Corporate Tax Registration for an LLC in the UAE

Step 1 — Collect the Required Documents

Before starting the application, an LLC should have the following ready:

  • The LLC’s trade licence
  • Memorandum of Association (MOA) or Articles of Association (AOA)
  • Passport, Emirates ID, and visa copies of the authorised signatory and relevant shareholders
  • Tenancy contract (Ejari), where applicable
  • Financial statements or revenue records supporting the company’s reported activity

Step 2 — Register on the FTA’s EmaraTax Portal

Registration is completed entirely online through the FTA’s e-Services platform at eservices.tax.gov.ae. The applicant creates an account, activates it through the verification email, and logs in to begin the Corporate Tax registration process.

Step 3 — Complete the Corporate Tax Registration Form

The form requires the LLC’s business particulars — legal name, licensed activities, revenue figures, and related details — alongside the supporting documents gathered in step one. Every field should be checked against the underlying documents before submission, since errors at this stage typically slow down approval rather than speed it up.

Step 4 — Receive the Tax Registration Number (TRN)

Once the FTA approves the application, it issues a Corporate Tax Registration Number, confirming the LLC’s registration is complete. Processing generally takes between 5 and 15 business days for a complete application, though incomplete or inconsistent submissions can extend this considerably.

Corporate Tax Registration Deadlines for LLCs — How the Timeline Actually Works

The applicable deadline depends entirely on when the LLC came into existence relative to 1 March 2024, the effective date of FTA Decision No. 3 of 2024.

LLCs Incorporated Before 1 March 2024

For LLCs already operating before that date, the FTA tied the registration deadline to the month the trade licence was issued — regardless of the year of issuance. The table below reflects the schedule the FTA set for this group:

Licence Issuance MonthRegistration Deadline
January – February31 May 2024
March – April30 June 2024
May31 July 2024
June31 August 2024
July30 September 2024
August – September31 October 2024
October – November30 November 2024
December31 December 2024

These dates have now passed. An LLC that existed before 1 March 2024 and has still not registered is already in breach of its deadline and should treat registration as an immediate priority rather than a scheduled task — the AED 10,000 penalty applies regardless of how much time has elapsed since the missed date.

One detail worth flagging for LLCs holding more than one trade licence: the FTA uses the earliest licence issuance date across all active licences to determine the applicable deadline, not the licence most relevant to the company’s main activity.

LLCs Incorporated On or After 1 March 2024

This is the rule that applies to most LLCs registering today. Any LLC incorporated on or after 1 March 2024 must submit its Corporate Tax registration application within three months of the date of incorporation. A company incorporated on 10 June 2026, for instance, would need to register by 10 September 2026.

Companies Without a Trade Licence Before 1 March 2024

Where a person or entity did not yet hold a trade licence as of 1 March 2024 but existed in some other recognised form, the registration deadline was set at 31 May 2024 — the same fallback date used for resident juridical persons with no licence on file at that point.

Penalties for Late or Non-Registration

An LLC that misses its applicable deadline faces:

  • AED 10,000 as a fixed administrative penalty for late registration
  • Additional penalties for late tax return filing and ongoing non-compliance, layered on top of the registration penalty rather than replacing it

The penalty is applied automatically once a deadline is missed and is not waived without a formal reconsideration request — though one meaningful relief route does exist. Under the FTA’s Public Clarification CTP006, effective 14 April 2025, a waiver and refund initiative allows eligible Taxable Persons who register late to avoid or recover the AED 10,000 penalty, provided they file their first tax return within a specified window of their first tax period ending. The FTA has indicated this initiative is expected to benefit roughly 91,000 registrants, underscoring how widely the late-registration penalty had been applied before the relief was introduced. LLCs that missed their original deadline should check their eligibility for this waiver rather than assuming the AED 10,000 charge is unavoidable.

Beyond the direct financial penalty, late registration carries secondary costs that are easy to underestimate: delayed processing of any tax refunds owed to the company, complications obtaining government clearances and permits tied to the trade licence, and reputational exposure with banks, partners, and regulators who increasingly check FTA compliance status before transacting.

Ongoing Compliance Requirements for LLCs After Registration

Registration is the starting point, not the finish line. Once an LLC holds a TRN, it takes on continuing obligations under UAE Corporate Tax Law:

  • Books of accounts — accurate accounting records must be maintained on an ongoing basis, not assembled retroactively at filing time
  • Corporate tax return filing — an annual return must be prepared and submitted to the FTA before the relevant deadline, which falls nine months after the end of the LLC’s financial year. For an LLC with a financial year ending 31 December 2025, the filing deadline is 30 September 2026
  • Ongoing compliance with FTA reporting criteria — including responding to any FTA requests for clarification, supporting documentation, or audit information

This obligation applies whether or not the LLC ultimately owes any tax for the period — a nil return is still a required return.

Common Misunderstandings LLCs Have About Corporate Tax Registration

  • “My LLC doesn’t need to register because it’s not profitable yet.” Incorrect — registration is required regardless of income or profitability, and is triggered by the existence of the LLC, not by reaching a revenue threshold.
  • “Free zone LLCs are exempt.” Incorrect — free zone companies must register even where they ultimately qualify for the 0% Qualifying Free Zone Person rate. The QFZP benefit is claimed on the tax return itself, not used as a basis to skip registration.
  • “The deadline is tied to my financial year-end.” Incorrect for registration purposes — the registration deadline is tied to incorporation date or licence issuance month, not the financial year-end. The financial year-end matters for the separate filing deadline, which follows the nine-month rule.
  • “I only need to register once I start earning revenue.” Incorrect — the obligation exists from incorporation, independent of when commercial activity actually begins.

Are There Fees for LLC Corporate Tax Registration?

The FTA does not charge a fee for Corporate Tax registration itself — the process is free when completed directly through the EmaraTax portal. Costs only arise where an LLC chooses to engage a tax consultant to review its position, prepare documentation, or manage the submission on its behalf, in which case the consultant’s own professional fees apply rather than any government charge.

Frequently Asked Questions (FAQs)

Will an LLC be required to register for Corporate Tax in the UAE?

Yes. Every LLC in the UAE must register with the Corporate Tax Authority, regardless of whether its income falls below the AED 375,000 threshold used to calculate the tax rate. Late registration after the applicable deadline triggers a fixed penalty of AED 10,000.

What is the registration deadline for an LLC’s Corporate Tax registration?

The deadline depends on the LLC’s incorporation date. LLCs incorporated before 1 March 2024 followed a staggered schedule based on their trade licence issuance month, with deadlines falling between 31 May 2024 and 31 December 2024. LLCs incorporated on or after 1 March 2024 must register within three months of their date of incorporation.

What penalty applies if an LLC fails to register for Corporate Tax on time?

A fixed administrative penalty of AED 10,000 applies for late registration, alongside potential additional penalties for late tax return filing and ongoing non-compliance. A waiver and refund initiative under FTA Public Clarification CTP006, effective 14 April 2025, may allow eligible LLCs to avoid or recover this penalty under specific conditions.

Are there fees charged by the FTA for LLC Corporate Tax registration?

No. The FTA does not charge a registration fee. Costs only arise if an LLC engages a tax consultant for review, compliance support, or advisory services, in which case the consultant’s fees apply separately from the registration process itself.

Do free zone LLCs still need to register for Corporate Tax?

Yes. Free zone LLCs must register for Corporate Tax even where they expect to qualify for the 0% Qualifying Free Zone Person rate. Registration is a separate step from claiming QFZP status, which is elected on the tax return after registration is complete.

How long does it take to receive a Corporate Tax Registration Number after applying?

The FTA typically processes complete Corporate Tax registration applications within 5 to 15 business days. Applications with missing or inconsistent documentation can take longer or be rejected, requiring resubmission.

Is the Corporate Tax registration deadline the same as the tax return filing deadline?

No. The registration deadline is tied to an LLC’s incorporation date or trade licence issuance month. The separate annual tax return filing deadline falls nine months after the end of the LLC’s financial year — for a financial year ending 31 December 2025, the filing deadline is 30 September 2026.
